Terms of Service

1. Agreement
These Terms of Service ("Terms") form a legally binding agreement between you ("Subscriber") and Ascendz Digital Limited, operated by Toni Martin ("we", "us", "our"), governing your access to and use of the Zenitro platform ("Service") at app.zenitro.co.
By registering for or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
2. Description of Service
Zenitro is a multi-tenant AI business diagnostics platform that allows businesses to build, publish and share diagnostics, quizzes and assessments. Respondents complete these to receive a personalised, AI-generated result grounded in the Subscriber's own methodology and the respondent's answers. Subscribers may use Zenitro's managed AI or bring their own AI provider API keys.
3. Eligibility and Registration
You must be at least 18 years old and have the authority to enter into these Terms on behalf of your business. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately of any unauthorised access at clientsupport@ascendz.co.
4. Plans, Pricing and Payment
4.1 Free Plan
The Service includes a free plan that lets you build and preview diagnostics at no cost. Publishing a diagnostic to collect responses requires a paid plan.
4.2 Monthly Subscription Plans
The Service is offered on the following monthly subscription tiers, billed in GBP:
- Starter: £19/month, 3 live diagnostics, 250 responses per month, link sharing, knowledge base, analytics, all AI models, and £5 of wallet credit on signup
- Growth: £39/month, 10 live diagnostics, 1,000 responses per month, everything in Starter plus campaigns, lead capture, webhooks and integrations, and £10 of wallet credit on signup
- Pro: £59/month, 30 live diagnostics, 3,000 responses per month, everything in Growth plus white-label embed, team members, priority support, and £15 of wallet credit on signup
A valid payment method is required to subscribe, and billing recurs automatically each month until cancelled. Monthly response allowances are a soft limit: we will not stop collecting responses if you exceed them, but sustained overage may prompt an upgrade.
4.3 The Suite Members and Enterprise
Members of The Suite may be granted access to a dedicated plan as part of their membership, with no separate charge from us. Enterprise plans with custom limits and terms are available by arrangement; contact clientsupport@ascendz.co.
4.4 Wallet Credits and AI Usage
Each paid plan includes wallet credit applied to your account on signup. Wallet credit is used to pay for AI usage when you use Zenitro's managed AI models, charged per report based on the model used and the length of the output. You may top up your wallet at any time via Stripe (in amounts between £10 and £500). Wallet credit has no cash value and is non-refundable once consumed. Subscribers who bring their own AI provider API keys ("BYOK") are not charged against their wallet for AI usage and instead pay their chosen AI provider directly.
4.5 Billing, Cancellation and Refunds
Monthly subscriptions are billed in advance via Stripe. By providing payment details you authorise us to charge you on a recurring basis. You may cancel or change your plan at any time via your account's billing settings, which open the Stripe customer portal. Cancellation takes effect at the end of the current billing period. We do not offer refunds for unused portions of a monthly billing period except where required by law. Wallet top-up credits are non-refundable.
4.6 Failed Payments
If a subscription payment fails, we will notify you by email. Continued failure to pay may result in suspension or downgrade of your account.
5. Acceptable Use
You agree not to use the Service to:
- Send spam, unsolicited messages or bulk commercial communications
- Harass, abuse, threaten or harm any person
- Distribute malware, phishing content or fraudulent material
- Violate any applicable law or regulation, including data protection laws
- Infringe any third-party intellectual property rights
- Impersonate any person or entity
- Scrape, reverse-engineer or attempt to access our systems beyond your authorised account
We reserve the right to suspend or terminate accounts that violate these rules without refund.
6. Third-Party Services and API Keys
The Service integrates with third-party platforms including Stripe and AI providers (Anthropic, OpenAI, Google, xAI). Your use of those platforms is subject to their respective terms of service and policies. We are not responsible for changes, outages or policy decisions made by those third parties.
You are solely responsible for ensuring your use of AI-generated content complies with all applicable laws and platform policies.
7. Data and Privacy
Our Privacy Policy is incorporated into these Terms and explains how we collect, use and protect your data. You retain ownership of all content you upload to the platform. By uploading content, you grant us a limited licence to process and store that content solely for the purpose of delivering the Service to you.
You are responsible for obtaining all necessary consents from your respondents for the collection and processing of their data through your diagnostics, including compliance with GDPR, UK GDPR and any other applicable data protection legislation. As between you and us, you act as the data controller of your respondents' personal data and we act as your data processor. Data processing terms describing that processing are available on request.
8. Intellectual Property
The Zenitro platform, including its code, design, branding and documentation, is owned by Ascendz Digital Limited and protected by intellectual property law. You are granted a limited, non-exclusive, non-transferable licence to access and use the Service for your internal business purposes during your subscription term.
You retain all rights to content you create and upload. We claim no ownership over your diagnostic configurations, knowledge base content or response data.
9. Service Availability
We aim to maintain high availability but do not guarantee uninterrupted access. The Service is provided "as is" without warranty of any kind. We may perform maintenance, updates or modifications to the Service at any time, with or without notice.
10. Limitation of Liability
To the maximum extent permitted by law, Ascendz Digital Limited shall not be liable for any indirect, incidental, consequential, punitive or special damages arising out of or in connection with your use of the Service, including but not limited to loss of revenue, loss of data, or reputational damage.
Our total aggregate liability to you in respect of any claims under these Terms shall not exceed the total fees paid by you in the 12 months preceding the event giving rise to the claim.
11. Termination
Either party may terminate these Terms at any time. You may do so by cancelling your subscription and ceasing to use the Service. We may terminate or suspend your access immediately if you breach these Terms, fail to pay fees, or for any other reason at our sole discretion.
Upon termination, your account data will be deleted within 30 days in accordance with our Privacy Policy.
12. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or in-platform notice with at least 14 days' notice. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
13. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
